Welcome to Zova Trade. These Terms and Conditions outline how you can use our website, our commercial services, and our international trade networks. 

By browsing our platform, requesting a trade quote, or doing business with us, you are agreeing to these rules. They apply globally to all of our wholesale buyers, supply partners, and logistics operators. 

1. Scope of Commercial Services

Zova Trade operates as an international merchant, distributor, and cold-chain logistics coordinator for agricultural commodities.

  • Any wholesale inquiries or informal quotes sent through our website or chat channels are just a starting point for discussion. They aren’t binding offers until we both formalize everything in a signed Proforma Invoice or a Sale & Purchase Agreement.
  • We also reserve the right to decline service, turn down commercial inquiries, or limit transaction amounts with any company or region to stay fully compliant with international trade laws.

2. International Trade Compliance & Documentation

Because our shipments cross global borders, both parties must adhere strictly to international maritime, customs, and agricultural laws.

  • Regulatory Clearance: We make sure all exported goods comply fully with local regulations before they leave, including passing mandatory inspections and securing certifications from bodies like the Kenya Plant Health Inspectorate Service (KEPHIS).
  • Buyer Responsibilities: It is entirely up to the buyer to make sure the imported goods meet the agricultural, phytosanitary, and customs rules at the destination port. Zova Trade cannot be held responsible if your cargo is delayed, rejected, or destroyed by destination customs due to local import rules changing.
  • Documentation: We will supply all the standard shipping documents needed—such as Bills of Lading, Commercial Invoices, Packing Lists, Phytosanitary Certificates, and Certificates of Origin—exactly as agreed upon in our commercial contract.

3. Shipping, Risk, and Cold-Chain Logistics

Unless explicitly negotiated otherwise in writing, all international trade terms are governed by the Incoterms® 2020 standards specified in your individual contract (e.g., FOB, CIF, CFR, or EXW).

  • Transfer of Risk: Risk of loss, damage, or spoiling of the agricultural cargo passes from Zova Trade to the buyer strictly according to whichever Incoterm we agreed upon for the shipment.
  • Cold-Chain Integrity: While we use specialized, temperature-controlled logistics networks to keep fresh produce in top condition, we cannot be held responsible for cold-chain failures that happen after the risk transfers to you. This includes maritime shipping delays, equipment failures on third-party vessels, or customs holdups at your destination port.

4. Payment Terms, Banking, and Letters of Credit

To maintain supply chain security and prevent financial fraud:

  • Payment Channels: All financial transactions must be completed through verified corporate banking channels using Wire Transfer (T/T) or Documentary Letters of Credit (L/C), as outlined in our formal invoices.
  • Payment Restrictions: We do not accept cash payments or personal checks from third parties.
  • Fraud Warning: Zova Trade will never use a basic email or WhatsApp message to notify you of a change to our corporate banking details. Any update to our banking coordinates must be verified through a secure, multi-party authentication process before you transfer any funds. We cannot be held liable if funds are sent to fraudulent accounts.

5. Website Intellectual Property & Acceptable Use

The design, code, logos, content, and proprietary media on https://zovatrade.com are the intellectual property of Zova Trade.

  • You may look through our digital catalog and download documentation explicitly provided for trade facilitation purposes.
  • You may not use web scrapers, automated bots, or data mining tools to extract content, product listings, or proprietary commercial structural data from our website without our explicit written consent.

6. Limitation of Liability & Warranties

  • Website Availability: Zova Trade provides this website exactly as it is and whenever it is online, without any guarantees that it will always run smoothly, uninterrupted, or completely free of errors.
  • Limitation of Liability: To the full extent allowed by law, Zova Trade won’t be held liable for any indirect, accidental, punitive, or consequential damages. This includes things like lost business profits, supply chain delays, or spoiled cargo that happen because you used our digital platform or relied on information posted publicly on our website.

7. Governing Law and Dispute Resolution

Zova Trade operates globally, but maintains its legal base of operations in Kenya.

  • These Terms shall be governed by, interpreted, and enforced in accordance with the laws of Kenya, without regard to conflict of law principles.
  • Any commercial dispute, controversy, or claim arising out of your relationship with Zova Trade that cannot be resolved amicably through mutual executive negotiation shall be submitted to the exclusive jurisdiction of the competent courts in Kenya, or alternative international arbitration frameworks as explicitly outlined in a finalized bilateral commercial contract.

8. Updates to These Terms

We update these terms from time to time to keep up with changes in maritime trade law, digital rules, and our own logistics operations. Any updates will be posted right here on this page with a new effective date. If you keep using our platform or services after those changes go up, it means you agree to the updated terms.
